Terms & Conditions

A legal disclaimer

These Terms and Conditions ("Agreement") apply to all services provided by Victoria Taylor (VT Marketing) for clients. By engaging with VT Marketing’s services, the client agrees to the terms outlined below.

1. Services Provided
VT Marketing offers the following services:
  • Content Audit & Strategy
  • Content Audit & Site Structure
  • Keyword Research & Clustering
  • 1-1 Coaching
  • Action Plan & Strategy
Content Creation & Management:
  • Hub + Spoke
  • Brief Creation
  • Editorial Planning
  • Content Calendar Management
Fractional Head of Content:
  • Content Team Mentoring
  • Content Strategy Oversight
  • Cross-Department Collaboration
  • Quarterly & Monthly Reporting
Product Marketing:
  • Video Scripts
  • Knowledge Base Articles
  • Case Studies
  • Product Launch or GTM Materials
  • Workshops
  • Speaking at Events

Additionally other items deemed as "content" by the consultant.

2. Payment Terms
  • Payment is required upfront or via a monthly/quarterly retainer, as agreed upon.
  • Clients will receive an official invoice with banking details to facilitate payment.
  • Services will not begin until full payment is received.
3. Project Timelines & Scope Creep
  • Project timelines vary depending on the scope of work and may range from 2 hours to several months. This will be outlined in the contract.
  • Delays and project or scope creep will incur additional fees, which will be charged hourly, weekly, or monthly, based on the overrun. Scope creep is defined as any tasks that extend beyond the agreed-upon project deadlines by 14-30 days. The determination of scope creep is at VT Marketing’s discretion.
4. Revisions & Edits
  • Revisions for content materials such as blog posts, lead magnets, or video scripts must be finalized within 5-30 days from their initial creation. Delays due to client actions causing scope or project creep will result in additional charges.
5. Termination of Contract
  • Contracts can be terminated early only if mutually agreed upon.
  • In case of early termination by the client, all services rendered to date must be paid in full.
  • If a retainer contract is terminated midway, payment will be required for the work completed up to that point. Any upfront payments for unused time will not be refunded, as that time was allocated and prevented VT Marketing from working with other clients.
6. Intellectual Property
  • Upon full payment, the client owns all content and strategies created specifically for their brand.
  • Until payment is made, ownership remains with VT Marketing. Usage of VT Marketing's name, image, words, or brand is considered intellectual property and is protected.
7. Confidentiality
  • VT Marketing respects the confidentiality of client data, strategies, and any unpublished materials.
  • VT Marketing reserves the right to share anonymized case studies or success stories if the client achieves significant results using provided content or strategies, with permission obtained via written, electronic, or verbal agreement.
8. Liability
  • VT Marketing will not be held liable for any damages or losses arising from the use of the content or strategies provided. This limitation applies for a period of 5-10 years following the project’s completion.
  • The client agrees not to defame VT Marketing or share negative reviews in any form (written, electronically, or vocally). This would be considered defamation.
9. Client Responsibilities
  • Clients are expected to provide necessary feedback, content approvals, and information in a timely manner. Approval of content should be limited to 1-2 designated individuals to avoid delays.
10. Dispute Resolution
  • In the event of a dispute, legal jurisdiction will be within British Columbia, Canada.
  • VT Marketing prefers to resolve disputes through mediation or mutual written or verbal agreements when possible.
11. Refund Policy
  • Refunds will only be provided if the client cancels the project and no work has begun at the time of cancellation.
